1. SCOPE OF REPRESENTATION

The Creator appoints the Agency as a non-exclusive representative to identify, negotiate, and manage commercial brand sponsorships, endorsements, and collaborative campaigns ("Brand Deals").

2. NON-EXCLUSIVITY

This agreement is Non-Exclusive. The Creator retains the full right to find, negotiate, and sign their own brand deals independently. The Agency is only entitled to a commission on Brand Deals that the Agency introduces, negotiates, or secures for the Creator.

3. COMMERCIAL TERMS (THE 80/20 SPLIT)

For every Brand Deal secured by the Agency:

• Creator Share: 80% of the Net Deal Value.
• Agency Commission: 20% of the Net Deal Value.
• Note: "Net Deal Value" implies the total amount paid by the brand excluding GST. The Agency shall deduct applicable TDS as per government regulations.

4. PAYMENT TERMS

• The Agency (Uplinemind Digital Services Pvt. Ltd.) will invoice the Brand directly.
• The Agency will remit the Creator's share (80%) within 3 business days of receiving payment from the Brand.
• The Agency is not liable to pay the Creator if the Brand defaults on payment (though the Agency will legally pursue the debt).

5. CREATOR OBLIGATIONS

• Deliverables: The Creator agrees to produce content (Reels, Videos, Stories) as per the brief agreed upon for each specific campaign.
• Professionalism: The Creator agrees to meet deadlines and maintain professional conduct with Agency clients.
• Non-Circumvention: If the Agency introduces the Creator to a Brand, the Creator agrees not to bypass the Agency to work directly with that specific Brand for a period of 12 months from the introduction, unless the Agency gives written permission.

6. TERM & TERMINATION

This agreement is effective starting from the date mentioned. Either party may terminate this agreement at any time with 7 days' written notice (email/WhatsApp is acceptable). Any pending deals or payments at the time of termination must still be honored.
