Terms of Service

By creating an account, accessing the Platform, or using any of our services, you acknowledge that you have read, understood, and agree to these Terms, along with our Privacy Policy, which is incorporated by reference.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notifications. Continued use after changes constitutes acceptance.

To use the Platform, you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into binding agreements.
• Provide accurate and truthful information during registration.
• Not have been previously suspended or removed from the Platform.

Creator Accounts

• Creator accounts require admin approval before activation.
• You must provide accurate social media profiles, follower counts, and personal details.
• Misrepresentation of follower counts, engagement, or credentials may result in immediate account termination.

Account Security

• You are responsible for maintaining the confidentiality of your login credentials.
• Notify us immediately of any unauthorized use of your account.
• We are not liable for losses arising from unauthorized access to your account.

Odiwave Media acts as a non-exclusive intermediary between content creators and brands. By using our Platform:

• You grant us permission to represent you to potential brand partners.
• You agree to sign our Non-Exclusive Representation Agreement before participating in brand projects.
• You understand that we facilitate connections but do not guarantee any specific number of projects, earnings, or brand partnerships.
• You retain ownership of all content you create for brand projects, unless otherwise agreed in project-specific terms.

Receiving Offers

• You may receive project offers via the Platform and email.
• Each offer includes the project details, brand name, and offered amount.
• You may accept or reject any offer at your discretion.

Accepting Projects

• Accepting an offer constitutes a commitment to complete the project according to the specified terms.
• Failure to deliver on accepted projects may result in account restrictions or termination.
• Project deliverables and timelines are communicated through the Platform dashboard.

If you authorize Gmail access:

• You grant Odiwave Media permission to send emails to brands on your behalf using your Gmail account.
• You grant permission to read email metadata from brand conversations for tracking purposes.
• All emails sent are reviewed and initiated by our admin team — automated mass emails are never sent.
• You may revoke this access at any time without affecting your account status.
• Our use of Gmail data complies with Google API Services User Data Policy.

• Platform IP: The Odiwave Media name, logo, website design, and software are the intellectual property of Uplinemind Digital Services Pvt. Ltd.
• Creator Content: You retain all rights to content you create. By using the Platform, you grant us a limited, non-exclusive license to use your name, profile photo, and public social media data for the purpose of facilitating brand partnerships.
• You may not copy, modify, distribute, or reverse-engineer any part of the Platform.

You agree not to:

• Provide false, misleading, or fraudulent information.
• Use the Platform for any illegal or unauthorized purpose.
• Attempt to bypass, compromise, or interfere with Platform security.
• Contact brands directly to circumvent Odiwave Media's facilitation for deals initiated through the Platform.
• Spam, harass, or send unsolicited communications through the email features.
• Share your account credentials with third parties.

By You

You may terminate your account at any time by contacting us. Outstanding payments for completed projects will still be processed.

By Us

We may suspend or terminate your account if you:

• Violate these Terms or the Creator Agreement.
• Provide false information or misrepresent your credentials.
• Fail to deliver on accepted projects repeatedly.
• Engage in fraudulent or harmful activities.

We will provide notice where possible, except in cases of fraud or severe violations.

To the maximum extent permitted by law:

• The Platform is provided "as is" without warranties of any kind, express or implied.
• We do not guarantee uninterrupted, error-free, or secure operation of the Platform.
• We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform.
• Our total liability for any claim shall not exceed the amount of commission earned from your transactions in the preceding 12 months.

You agree to indemnify and hold harmless Odiwave Media, Uplinemind Digital Services Pvt. Ltd., its directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Platform.
• Your violation of these Terms.
• Your violation of any third-party rights.
• Content you create for brand projects.

• These Terms are governed by the laws of India.
• Any disputes shall be subject to the exclusive jurisdiction of the courts in Bhubaneshwar, Odisha, India.
• Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for at least 30 days.
